Watch-outs

  • Pool shuffle: the option-pool top-up is being carved out of the pre-money cap table, so it dilutes founders rather than new investors. Negotiate the pool inside the post-money to share the dilution.

Priced-round price

The round price per share is pre-money valuation ÷ pre-round fully-diluted shares. New investors receive new money ÷ that price.

SAFE conversion

Each SAFE converts at the lower of its cap price (cap ÷ cap-basis) and its discount price (round price × (1 − discount)). Post-money SAFEs use the post-money share base, solved iteratively.

Pool & dilution

An option-pool top-up is sized to your target % of the post-money cap table. When carved from pre-money it dilutes founders, not new investors — the tool flags this pool shuffle.
